FLIP SIDE OF NASHVILLE VIDEO CONTEST
OFFICIAL RULES

1. Contest Period:
The Flip Side of Nashville Contest (the "Contest") begins July 15, 2008 and ends September 1, 2008 (the "Contest Period").

2. How To Enter:
To enter the Contest, during the Contest Period visit www.visitmusiccity.com/flipside (the "Contest Website") and complete all required registration information and upload a video (suggested 1-2 min. in length) describing the Flip Side of Nashville’s music scene (the "Submission" or "Submission Materials"). We are looking for interesting, entertaining video content; we want to see your grasp on the essence of Nashville’s music lifestyle within its non-traditional genres. Submissions can be in color or black and white and may be enhanced with graphics, special effects and/or animation.

To enter, in no particular order, you must complete the registration form on visitmusiccity.com/flipsideofnashville and upload a video to the YouTube group youtube.com/group/FlipSideNashville. If you are not an existing user of YouTube, you will be required to create a free user account. Registration on YouTube must be completed before a video can be submitted. When you register your YouTube account, you will be required to agree to the YouTube Terms of Use, located at http://www.youtube.com/t/terms, and the YouTube Privacy Policy, located at http://www.youtube.com/t/privacy.

If you do not complete the registration step on visitmusiccity.com/flipsideofnashville your Submission will not be entered into the Contest or eligible for a prize even though your Submission may be posted on the Contest Group Page. Sponsor is not responsible for Entrant's failure to timely complete each step of the registration process.

The person uploading the Submission will be deemed the entrant (the "Entrant"). Submissions will be declared to be made by the authorized account holder of the e-mail address submitted at the time of Submission. "Authorized account holder" is defined as the natural person who is assigned to an e-mail address by an Internet Access provider, Online Service provider, or other organization (e.g., business, educational institution etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. By entering, you understand that your Submission may (in Sponsor's sole discretion) be posted online for consumers to view and vote on. Submissions will be posted on the Flip Side of Nashville YouTube group page at www.youtube.com/group/FlipSideNashville (subject to the conditions noted in these Official Rules). YouTube Users will vote to determine the Fan Favorite winning Submissions, subject to verification of eligibility and conditions of these Official Rules. All Submissions must be completed and submitted by September 1, 2008, to be eligible for the final judging. Normal Internet access and usage charges imposed by Entrants' online service will apply. Your Submission is not eligible if it is lost, late, illegible, misaddressed, or otherwise misdirected.

3. Submission Conditions:
Entrants must agree to be bound by and accept the YouTube terms of use and privacy policy, available at www.youtube.com/signup. Music, lyrics, sounds, props, or any other creative element used in the Submission must be Entrant's own original creative work, cannot have been previously published and must not include any material owned by a third party (with the exception of provided “Music Calls Us Home song clip and other Nashville images provided in registration). Submissions cannot include any personally identifiable information (i.e. last name, address, place of work etc.) of yourself or any other person(s) (whether appearing in the Submission or not). The Submission may not contain obscene, lewd or inappropriate images or text including no nudity, acts of violence or acts that appear to cause harm, as determined in Sponsor's sole discretion. Any Submission Material or portion thereof that is, in the Sponsor's sole discretion, obscene, profane, lewd, defamatory, contains any third party materials, or otherwise violates or infringes (or may infringe) any copyright, trademark, logo, mark that identifies a brand or other proprietary right of any person living or deceased (including but not limited to rights of privacy or publicity or portrayal in a false light) or entity, or is otherwise objectionable, will not be considered and may disqualify the Entrant. Therefore, clothing worn in the video should not contain any visible logos, drawings, cartoons, phrases, trademarks or other third-party materials. Entrants may not copy or otherwise plagiarize the Submission Material from any source. Sponsor has the sole discretion to determine whether a video qualifies as an Submission. If, in Sponsor's sole discretion, the Submission appears to have resulted in any injury or bodily harm, it will be rejected. Submissions must be in keeping with Sponsor's image and may not be offensive, as determined by Sponsor in its sole discretion. By entering, you agree to waive any rights you may have to the Submission submitted.

Winner acknowledges and agrees that his/her Submission becomes the property of the Sponsor, which thereby has the right to edit, adapt, modify, reproduce, promote and otherwise use Submissions in any way it sees fit in connection with advertising or promoting the Nashville Music City brand and products in any medium, throughout the world, in perpetuity. Entrant shall have no right to review or approve edits, alterations or modifications, and the Entrant waives the benefit of any provision of law known as "moral rights". By submitting a Submission, you represent: (a) that the Submission is your own original work that has not previously been published or publicly shown or won a prize or award; and (b) any and all rights to the Submission belong to you and the Submission does not infringe, misappropriate or violate the rights of any third party. Further, any Submissions that Sponsor, in its sole discretion, deems to be inappropriate for publication will not be considered.

As conditions of Submission into this Contest, Entrant represents and warrants that the Entrant has obtained permission from each person whose name, image, likeness or voice ("Likeness") is included in the Submission, and that such person(s) have granted Entrant all necessary rights to use the person's Likeness as described in these rules, and that Entrant can make written copies of such permissions available to the Sponsor upon request. If the Likeness of a minor is included, such grant of rights must include written permission from the minor's parent or legal guardian authorizing the use of the minor's likeness on behalf of the minor. Entrant must receive prior written transfer of ownership from the videographer if the Submission was recorded by someone other than the Entrant.

4. Eligibility:
Entrants must be 18 years of age or older as of date of Submission. Employees of Nashville’s Convention & Visitors Bureau (NCVB), Southwest Airlines, or the Renaissance Nashville Hotel and their affiliates as well as advertising/promotion agencies and the immediate family members and household members of each are not eligible. All federal, state and local taxes are the sole responsibility of winner (or the parent/guardian if winner is a minor in his/her state of residence).

5. Prize Determination:
Early Bird Prize: The first 1,000 unique completed submissions will receive the Early Bird Prize. No more than one Early Bird Prize per Entrant.
User Ratings: Beginning 9/2/08 and ending 9/3/08 (the "Voting Period"), website visitors will be given the opportunity to rate the Submissions by following the online instructions. Limit one rating per user per Submission per day. The one hundred (100) Entrants with the highest ratings at the end of the Voting Period, as determined by Sponsor, will be deemed the potential Fan Favorites, pending verification of eligibility and compliance with these Official Rules. In the event of a tie, tied Submissions will be rejudged and selected by Sponsor.
Grand Prize Judging: By participating, Entrants agree to the Official Rules and the decisions of the Judges, which shall be final and binding in all respects. By participating in this Contest, Entrants (or parent/legal guardian if Entrant is a minor) agree to be bound by the Official Rules, including YouTube terms of use, and the judges' decisions which are final. One Grand Prize will be awarded. Ten Top 10 Finalist Prizes will be awarded.

6. Prizes:
One thousand (1,000) Early Bird Prizes will be awarded to the first 1,000 unique submissions (one per person registered). Early Bird Prize consists of:

  • New Gabe Dixon self-titled cd (cd will be mailed to winner 6-8 weeks from date of album release)
  • One hundred (100) Fan Favorite Prizes will be awarded. Fan Favorite Prize consists of:

  • $100 (check mailed to winner’s address provided at registration)
  • Ten (10) Top 10 Finalist Prizes will be awarded. Finalist Prize consists of:

  • $100 (check mailed to winner's address provided at registration)
  • Flip Side of Nashville Top 10 Certificate
  • Music City Gift
  • One (1) Grand Prize will be awarded. Grand Prize consists of:

  • 2 round trip airline tickets, courtesy of Southwest Airlines, from winner’s nearest SWA serviced airport (Winner’s responsibility/cost to get to the nearest SWA serviced airport.)
  • 4 nights at Renaissance Nashville Hotel (September 10-14, 2008)
  • 2 VIP tickets to Next Big Nashville (September 10-14, 2008)
  • $2,500 Cash
  • 2 Music City Star Cards, valid for admission into over 30 attractions
  • Music City Welcome Kit upon arrival
  • Submission featured on visitmusiccity.com, myspace.com/nashvillemusiccity and youtube.com/nashvillemusiccity
  • Estimated retail value of Grand Prize is five thousand, three hundred and fifty dollars ($5,550.00). Grand Prize value may vary depending on the city of origin.

    Potential Prize winners will be notified by phone, mail and/or e-mail; a potential winner will be required to claim his or her prize within three (3) days of notification by signing before a notary and returning to the address stated in the notification, an Affidavit of Eligibility and Liability/Publicity Release. If the notarized Affidavit and Release are not returned within three (3) days of notification, the winner will have waived any claim to the prize and an alternate winner may be selected. By accepting, the Grand Prize winner: (a) releases NCVB and their affiliated companies from any action or proceedings arising out of or for injuries or damages sustained while involved in any promotion activity or connection with the use of the prizes; as well as (b) consents to the use by NCVB for promotional purposes in connection with this promotion, of his or her name, likeness, voice and/or Submission/video without further compensation where permitted.

    Winner must take the Grand Prize trip between Wednesday, September 10 and Sunday, September 14, 2008. If a winner cannot attend on these dates he/she must forfeit the prize and an alternate winner may be selected. All other expenses are the responsibility of the winner. All travel for Grand Prize to be arranged by Nashville’s Convention & Visitors Bureau or its agency. NCVB will not be responsible if weather conditions, event cancellations, acts of God or other circumstances beyond their reasonable control prevent the prize from taking place. In the event a winner lives within a 100-mile radius of destination city, a $100 gas card will be provided in lieu of air transportation. Prize is awarded "as is" with no warranty or guarantee, either expressed or implied by Sponsor.

    Prize is not transferable. No substitution or transfer of prize permitted except at the sole discretion of the Sponsor who reserves the right to substitute a prize (or portion of prize) of equal or greater value in the event the prize is unavailable. Trip may not be combined with any other offer and travel may not qualify for frequent flyer miles. Grand Prize Winner and travel companion must travel together on the same itinerary. Winner and travel companion must possess valid travel documents (i.e., valid photo ID, etc.) in order to travel. All travel must be completed on dates specified by Sponsor; dates of departure and return are subject to change. Seat selection and timing of trip subject to availability and confirmation of reservations. No refunds or credit for changes are allowed. All other expenses and costs, not expressly listed above, including, but not limited to, taxes, tips, entertainment and transfers, are Grand Prize Winner's sole responsibility.

    7. General Rules:

    Sponsor reserves the right at its sole discretion to disqualify any individual that tampers or attempts to tamper with the Submission process or the operation of the Contest or the Website; violates the Official Rules; acts in an unsportsmanlike or disruptive manner; or acts with intent to annoy, abuse, threaten or harass any other person. The Released Parties are not responsible for technical, hardware or software malfunctions, telephone failures of any kind, lost or unavailable network connections, or failed, incorrect, inaccurate, incomplete, garbled or delayed electronic communications, whether caused by the sender, by any of the equipment or programming associated with or utilized in this Contest which may limit the ability to participate, or by any human error which may occur in the processing of the Submissions in this Contest. Submissions generated by script or bot are not eligible. As a condition of entering the Contest, Entrant agrees that: 1) under no circumstance will Entrant be permitted to obtain awards for, and participant hereby waives all rights to claim, punitive, incidental, consequential or any other damages; 2) all causes of action arising out of or connected with this Contest, or any prize awarded, shall be resolved individually, without resort to any form of class action.

    Winner and all Entrants, as a condition of Submission into the Contest, agree to release Sponsor and its Administrators, each of their respective agencies, parents, subsidiaries, affiliated companies and each of their respective officers, directors, shareholders, members, employees, agents, assigns, and all others associated with the development and execution of this Contest (collectively the "Released Parties") from and against any and all liability, claims or actions of any kind whatsoever for injuries, damages, or losses to persons or property which may be sustained in connection with submitting a Submission or otherwise participating in any aspect of the Contest, the receipt, ownership or use of prize awarded or any typographical or other error in these Official Rules or the announcement of offering of the prize.

    Not all Submissions will be posted on the Contest Website. All Submissions will be reviewed before being published or judged; however, publication of a Submission does not mean the Submission has been deemed to be in compliance with these rules. Submissions that do not comply with the YouTube Terms of Use or these Official Rules or that otherwise contain prohibited, or inappropriate content as determined by the Sponsor, in its sole discretion, will be disqualified and will not be considered for a prize.

    NOTICE TO ONLINE ENTRANTS: ANY ATTEMPT BY AN INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THIS PROMOTION IS A VIOLATION OF CRIMINAL AND CIVIL LAWS, AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW. Sponsor is not responsible for faulty, incorrect or mistranscribed phone/e-mail transmissions, incorrect announcements of any kind, technical hardware or software failures of any kind including any injury or damage to any person's computer related to or resulting from participating in or experiencing any materials in connection with the Contest, lost or unavailable network connections, or failed, incomplete, garbled or delayed computer transmission that may limit a user's ability to participate in the Contest. Sponsor assumes no responsibility for undeliverable e-mails resulting from any form of active or passive e-mail filtering by a user's Internet service provider and/or e-mail client or for insufficient space in user's e-mail account to receive e-mail. In the event Sponsor is prevented from continuing with the Contest or the integrity and/or feasibility of the Contest is severely undermined by any event beyond Sponsor's control, including but not limited to fire, flood, epidemic, earthquake, explosion, labor dispute or strike, act of God or public enemy, satellite or equipment failure, riot or civil disturbance, war (declared or undeclared), terrorist threat or activity, or any federal, state or local government law, order, or regulation, order of any court or jurisdiction, infection by computer virus, unauthorized intervention, technical failures or other cause not reasonably within Sponsor's control (each a "Force Majeure" event or occurrence), Sponsor shall have the right, in its sole discretion, to abbreviate, modify, suspend, cancel or terminate the Contest without any further obligation. If Sponsor, in its discretion, elects to abbreviate the Contest as a result of a Force Majeure event, a notice will be posted online; Sponsor reserves the right, but not the obligation, to judge all valid and eligible Submissions received up to the time of such Force Majeure event in order to award the prize, providing a sufficient number of Submissions are received.
